Murphy Capital Solutions LLC – Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of this application form and any related services provided by Murphy Capital Solutions LLC (“Murphy Capital Solutions,” “MCS,” “we,” “us,” or “our”). By submitting this application, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Nature of Our Services

Murphy Capital Solutions is a commercial finance broker. We are not a bank or direct lender. We work with a network of third-party lenders and funding partners to help arrange financing based on the information you provide.

Submission of an application does not guarantee approval, funding, specific terms, or any particular lender.

2. Eligibility

By submitting this application, you represent and warrant that:

  • You are at least 18 years of age and authorized to apply for credit on behalf of the business named in this application.

  • All information you provide is true, accurate, and complete to the best of your knowledge.

  • You will promptly notify us if any material information changes.

3. Accuracy and Use of Information

You agree that the business and personal information you provide may be used by Murphy Capital Solutions and its funding partners to:

  • Evaluate your creditworthiness and eligibility for financing;

  • Obtain consumer and/or commercial credit reports, bank information, and trade references;

  • Verify identity, income, assets, liabilities, and other information;

  • Prevent fraud and comply with applicable laws and regulations.

You understand that providing false, misleading, or incomplete information may result in denial of credit, termination of relationship, or other adverse action.

4. Independent Lenders & No Guarantee

Financing decisions, terms, rates, fees, and conditions are made solely by the individual lenders and funding partners, not by Murphy Capital Solutions.

We do not guarantee that:

  • Your application will be approved;

  • You will receive a specific rate, term, or structure;

  • Any particular lender will extend credit to you.

Any offers of financing you receive are subject to the lender’s own underwriting, documentation, and final approval.

5. Electronic Communications & SMS Consent

By submitting this application, you agree that Murphy Capital Solutions and its lending partners may contact you using any contact information you provide, including email address and telephone number(s), which may include mobile numbers.

You consent to receive:

  • Application updates, follow-ups, and requests for additional information;

  • Transactional and account-related messages;

  • Occasional marketing or promotional communications (where permitted by law and where you have not opted out),

which may be delivered by phone, SMS/text, email, or other electronic means. Message and data rates may apply. Message frequency may vary.

You may opt out of SMS/text communications at any time by replying “STOP” to any message, or by contacting us directly.

6. Privacy

We collect, use, and disclose personal and business information in order to evaluate applications, prevent fraud, comply with legal obligations, and operate our business. We may share your information with:

  • Lenders and funding partners;

  • Service providers and vendors that support our operations;

  • Government or regulatory authorities as required by law.

We use commercially reasonable measures to safeguard your information but cannot guarantee absolute security. By submitting this application, you consent to our collection and use of your information as described in these Terms.

7. No Legal, Tax, or Accounting Advice

Any information provided by Murphy Capital Solutions, whether orally, in writing, or through our website, is for general informational purposes only and does not constitute legal, tax, or accounting advice. You should consult your own attorney, accountant, or other professional advisors regarding your specific situation before entering into any financing arrangement.

8. Intellectual Property

All content, branding, and materials provided by Murphy Capital Solutions (including, without limitation, logos, text, graphics, and form layouts) are owned by us or licensed to us and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our materials without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Murphy Capital Solutions and its members, managers, employees, agents, and representatives will not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind arising out of or in connection with:

  • Your use of this application or our services;

  • Any delay, denial, or change in terms of credit or financing;

  • Any actions or omissions of third-party lenders, funding partners, or service providers.

Our total aggregate liability to you for any claims arising out of or relating to these Terms, your application, or our services will be limited to one hundred dollars (US $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Murphy Capital Solutions and its members, managers, employees, agents, and representatives from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms;

  • Your violation of any law or third-party rights;

  • Any inaccurate, incomplete, or misleading information provided in connection with this application.

11. Governing Law and Venue

These Terms and any disputes arising out of or relating to your application or our services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts-of-law principles.

You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction and venue of such courts.

12. No Class Actions

To the extent permitted by law, you agree that any claim or dispute with Murphy Capital Solutions will be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

13. Changes to These Terms

We may update or modify these Terms from time to time. Any changes will be effective when posted on our website or otherwise provided to you. Your continued use of our forms or services after such changes constitutes your acceptance of the revised Terms.
